易付宝服务协议

SuningPay Service Agreement

（苏宁开放平台、海外购平台）(Suning Open Platform; Overseas Purchase Platform)

本服务协议（以下可称为“本协议”或“协议”）双方为南京苏宁易付宝网络科技有限公司（以下简称“苏宁易付宝”或“本公司”）与入驻苏宁海外购平台并使用易付宝服务的法律实体（以下简称“商家”）。

This Service Agreement (hereinafter referred to as “the Agreement”) is concluded between Nanjing Suning Payment Technology Co.,Ltd.(hereinafter referred to as “SuningPay” or “the Company”) and a legal entity which has settled onto Suning Overseas Purchase Platform and which enjoys SuningPay Service (hereinafter referred to as “the Merchant”).

本协议所提及的苏宁易购网站，是指首页域名为suning.com的网站（若其此后更换域名的，以更换后的域名为准）；苏宁开放平台，是指苏宁易购网站旗下的开放平台业务系统，登陆网址为sop.suning.com（若其此后更换域名的，以更换后的域名为准）；苏宁海外购平台，是指苏宁易购提供技术支持和服务的，专门销售中华人民共和国境外（包括台湾、香港、澳门地区）商品或服务的跨境交易以及结算平台。

The website of Suning E-Commerce mentioned in the Agreement refers to the website whose homepage domain name is suning.com (In case of any change thereafter, the changed domain name shall prevail). Suning Open Platform refers to the open platform business system under the website of Suning E-Commerce. Please log onto the website sop.suning.com. (In case of any change thereafter, the changed domain name shall prevail). Suning Overseas Purchase Platform refers to the platform of cross-border transactions and settlements, on which Suning E-Commerce offers technical support and service for exclusively selling commodities or services outside theterritoryofThe People’s Republic of China (includingTaiwan, Hong Kong andMacao).

一、 声明与承诺

Ⅰ. Declarations and promises

为了保障商家的权益，请商家务必详细阅读本协议所有内容，特别是字体加粗或以下划线标注的内容。当商家点击同意本协议并完成易付宝账户注册程序，或开始使用易付宝服务时，均表示商家已阅读、了解并同意接受本协议之所有内容。

In order to safeguard the rights and interests of the Merchant, the Merchant must carefully read all contents of the Agreement, especially the boldfaced or underlined part of the Agreement. If the Merchant clicks for acceptance of the Agreement or completes the registration procedures of SuningPay Account, or begins to enjoy SuningPay Service, then the Merchant shall be regarded as having already read, understood and accepted all contents of the Agreement.

本协议内容包括协议正文、附属协议及所有苏宁易付宝已经发布的或将来可能发布的各类易付宝服务规则（“易付宝服务规则”）；所有易付宝服务规则为本协议不可分割的一部分，与协议正文具有同等法律效力。

The Agreement shall include the main body of the Agreement, its supplementary agreements, and all SuningPay Service Rules that SuningPay has already released or may release in the future (“SuningPay Service Rules”). All SuningPay Service Rules shall be an integral part of the Agreement, and shall have the same legal effect as the main body of the Agreement.

1、商家在使用苏宁易付宝提供的各项服务的同时，承诺接受并遵守各项易付宝服务规则的规定。苏宁易付宝有权根据需要不时地制定、修改本协议或各类易付宝服务规则；如本协议、各类易付宝服务规则有任何变更，苏宁易付宝将提前在苏宁易购网站、苏宁开放平台或苏宁海外购平台发布公告，经修订的协议自公告期届满生效。协议生效后商家登录或继续使用“易付宝服务”即表示商家接受经修订的协议和易付宝服务规则。除另行明确声明外，任何使“易付宝服务”范围扩大或功能增强的新内容均受本协议约束。如商家不同意本协议及易付宝服务规则的任一内容，或不同意本协议及易付宝服务规则变更后的任一内容，商家应当而且唯一的救济途径是停止使用易付宝服务。

1. While enjoying various services offered by SuningPay, the Merchant promises to accept and observe various provisions of SuningPay Service Rules. SuningPay shall have the right to, as required, formulate and modify the Agreement or various SuningPay Service Rules at any time. If any change occurs to the Agreement or various SuningPay Service Rules, SuningPay shall release it on the website of Suning E-Commerce, Suning Open Platform or Suning Overseas Purchase Platform in advance. The Agreement will become effective after the expiration period of the notice. Once the Agreement is effective, the Merchant logs onto or continues to enjoy SuningPay Service, the Merchant shall be regarded as having accepted the modified Agreement and SuningPay Service Rules. Unless otherwise declared explicitly, any new content which expands the scope or intensifies the function of SuningPay Service shall be bound by the Agreement. If the Merchant disagrees with any content of the Agreement and SuningPay Service Rules, or disagrees with any modified content of the Agreement and SuningPay Service Rules, then the Merchant shall stop enjoying SuningPay Service and the only relief approach for the Merchant shall be stopping enjoying SuningPay Service.

2、为履行本协议及便捷沟通之需要，商家同意接收苏宁易付宝或者苏宁易付宝合作伙伴发出的电子方式的信息。电子方式包括但不限于以电子邮件方式、或于苏宁易购网站或者相关合作网站上公布、或无线通讯装置通知等方式。商家可以将此等电子方式信息打印或印刷成任何形式的副本保存，而无须苏宁易付宝书面邮寄送达。

2. As required by the performance of the Agreement and the convenience of communication, the Merchant agrees to receive any information transmitted by SuningPay or any business partner of SuningPay in any of the electronic ways, including but not limited to email, publicity on the website of Suning E-Commerce or relevant cooperative website, and notification via any wireless communication device. The Merchant can type or print any of such electronic information into counterpart in any form for saving, without the service of a written mail by Suning E-Commerce.

3、商家确认同意本协议后，本协议即在商家和苏宁易付宝之间产生法律效力。请商家务必在注册之前认真阅读全部协议内容，如有任何疑问，可向苏宁易付宝咨询。

3. The Merchant confirms that the Agreement shall immediately become legally effective between the Merchant and SuningPay after the Merchant accepts the Agreement. The Merchant must carefully read all contents of the Agreement before registration. In case of any question, the Merchant can consult SuningPay at any time.

（1）只要商家点击协议正本下方的“同意协议，并完成注册”或类似同意按钮并按照苏宁易付宝的注册程序成功注册为易付宝用户，即表示商家同意并签署了本协议。

（1）As long as the Merchant clicks “Accept the agreement and complete the registration” below the main body of the Agreement or any other similar acceptance button and successfully registers itself as a User of SuningPay according to the registration procedures of SuningPay, the Merchant shall be immediately regarded as having accepted and signed the Agreement.

（2）本协议不涉及商家因网上交易而与相关交易方产生的法律关系及法律纠纷。商家因进行商品或服务交易，或接触苏宁易购网站服务器而发生的所有应纳税赋，以及一切硬件、软件、服务及其它方面的费用均由商家负责支付。

（2） The Agreement shall not involve any legal relationship or legal dispute arising from any online transaction between the Merchant and any relevant transaction counterparty. The Merchant shall pay all payable taxes and all hardware, software, service and other expenses arising from the Merchant’s commodity or service transaction or the Merchant’s access to the website server of Suning E-Commerce.

（3）如商家所属的国家或地区排斥本协议条款内容之全部或部分，则商家应立即停止使用易付宝服务。

（3）If the country or region to which the Merchant belongs rejects all or part of the contents of the Agreement, then the Merchant shall immediately stop accessing SuningPay Service.

4、苏宁易付宝仅提供款项代收、代付等约定服务，但不介入商家与任何第三方的交易合同，商家与任何第三方的交易风险和纠纷，由商家自行通过合法途径解决，与苏宁易付宝无关。

4. SuningPay shall merely offer fund collection, payment and other agreed service, but shall stay out of any transaction contract between the Merchant and any third party. As for any transaction risk or dispute between the Merchant and any third party, the Merchant shall independently settle it through a lawful approach without SuningPay.

二、定义

Ⅱ. Definition

（一）“易付宝账户”：指在商家意图使用本服务协议项下的易付宝服务，并正常完成易付宝账户注册程序后，苏宁易付宝将提供给商家一个唯一的编号，即易付宝账号，并由商家自行设置密码，以此查询或计量商家的预付、或应收应付款或进行相关操作。请商家妥善保管易付宝账户密码，禁止向他人泄露，否则由此引起的风险和损失由商家自行承担。

(Ⅰ) “SuningPay Account”: If the Merchant intends to enjoy SuningPay Service under the Service Agreement, then after the Merchant normally completes the registration procedures of SuningPay Account, SuningPay shall provide the Merchant with a sole identifier, namely SuningPay Account, and the Merchant shall independently set a password, so as to inquire about or calculate the prepayments, receivables or payables of the Merchant or carry out relevant operations. The Merchant shall take good care of its SuningPay Account Password and must not divulge it to any other person; otherwise the Merchant shall independently bear any risk or loss thus caused.

（二）易付宝服务，包括如下服务内容：

(Ⅱ) SuningPay Service includes:

1、代收：商家可以要求苏宁易付宝代为收取其他易付宝用户等商家的交易相对方向商家支付的货款等各类款项。

1. Collection: The Merchant can demand SuningPay to collect various funds, e.g. any payment for goods, paid by transaction counterparties of the Merchant, e.g. other SuningPay users, on the behalf of the Merchant.

2、代付：商家可以要求苏宁易付宝将代收的商家的款项支付给商家指定的第三方。商家同意苏宁易付宝代付后，非经生效司法裁决或者非依本协议之约定调整，该支付是不可逆转的，具有不可抵赖性。

2. Payment: The Merchant can demand SuningPay to pay any fund collected on behalf of the Merchant to any third party designated by the Merchant. The Merchant agrees that this payment shall become irreversible and undeniable once made by SuningPay on behalf of the Merchant, unless according to any effective judicial judgment or unless adjusted according to any provision of the Agreement.

3、结算：商家可以要求苏宁易付宝退返苏宁易付宝为商家代收的款项或者苏宁易付宝按照一定的规则主动退返苏宁易付宝为商家代收的款项。当苏宁易付宝进行结算时，商家必须提供一个与商家的名称相符的有效的银行账户，苏宁易付宝一般将于收到指示后的一至七个工作日内，将相应的款项汇入商家提供的有效银行账户（商家理解，由于不同银行作业程序的差异，汇入不同银行账户的时间可能会有所不同）。除本条约定外，苏宁易付宝不接受商家提供的其他款项受领方式。

3. Settlement: The Merchant can demand SuningPay to return any fund collected by SuningPay on behalf of the Merchant or SuningPay can take the initiative to return any fund collected by SuningPay on behalf of the Merchant according to some rules. When SuningPay carries out any settlement, the Merchant must provide an effective bank account consistent with the name of the Merchant. SuningPay will generally remit the corresponding fund to an effective bank account provided by the Merchant within one to seven workdays after receiving the instruction (The Merchant understands that different periods of time would be taken to remit the fund to the accounts of different banks due to different operation procedures among different banks). Unless otherwise agreed in this clause, SuningPay shall not accept any other way of fund receipt provided by the Merchant.

4、结算币种：在苏宁易付宝结算苏宁易付宝为商家代收的款项时，商家可要求苏宁易付宝将商家易付宝账户中的资金以某种苏宁易付宝支持的结算币种结算至商家提供的有效银行账户中。商家需要保证商家提供的有效银行账户能够支持接受商家指定的结算货币。商家理解，在跨境结算时，可能由于汇率波动引发汇率损益，商家自愿承担该种损益。

4. Settlement currency: When SuningPay settles the funds collected by SuningPay on behalf of the Merchant, the Merchant can demand SuningPay to settle the funds in the SuningPay Account of the Merchant toward an effective bank account provided by the Merchant in a settlement currency supported by SuningPay. The Merchant needs to ensure that the effective bank account provided by the Merchant can support the settlement currency designated by the Merchant. The Merchant understands that the Merchant shall voluntarily bear any gain or loss e arising from the fluctuation of exchange rate.

5、查询：苏宁易付宝将对商家在易付宝软件系统中的所有操作进行记录，不论该操作之目的最终是否实现。商家可以在易付宝软件系统中实时查询商家的易付宝账户名下的交易记录。商家同意，除苏宁易付宝另行同意外，商家申请查询商家的易付宝账户交易记录时，商家仅有权查询商家当次申请前一年内的交易记录（若商家的易付宝账户开立时间不足一年天的，商家可以查询开立后的易付宝账户交易记录）。

5. Inquiry: SuningPay shall record all operations of the Merchant in SuningPay Software System. No matter the purpose of any operation is eventually achieved or not, the Merchant can make a real-time inquiry about the transaction record in the name of the SuningPay Account of the Merchant. The Merchant agrees that: Unless otherwise approved by SuningPay, while applying for inquiring about the transaction record of the SuningPay Account of the Merchant, the Merchant shall only have the right to inquire about the transaction records which occur within one year before the application (If the SuningPay Account of the Merchant has been existing for less than one year, the Merchant can inquire about all the transaction records of SuningPay Account which have been occurring since the opening of the account).

6、款项专属：对于商家支付到苏宁易付宝并归属至商家易付宝账户的款项及商家通过易付宝账户收到的货款或其他款项，苏宁易付宝将予以妥善保管，除法律另有规定或本协议另行规定外，不作任何其他非商家指示的用途。商家同意商家易付宝账户的上述款项因存放在易付宝备付金账户所生孳息归易付宝所有。

6. The exclusiveness of funds: SuningPay shall take good care of all funds that the Merchant has paid to SuningPay and which have been included in the SuningPay Account of the Merchant, and the payments for goods and all other funds that the Merchant has received through the SuningPay Account. Unless otherwise specified by laws or the Agreement, SuningPay shall not use these funds for any other purpose than designated by the Merchant. The Merchant agrees that the fructus accruing from the above-mentioned funds on the SuningPay Account of the Merchant due to their being deposited on the provision account of SuningPay shall belong to SuningPay.

商家知晓并同意，易付宝服务的内容，可能会根据苏宁易付宝业务变化或商家的易付宝账户资信等情况，而有所增加、减少或变更。

The Merchant knows and agrees that the contents of SuningPay Service may be increased, decreased or changed along with any change to the business of SuningPay or the financial and credit standing of the SuningPay Account of the Merchant or any other circumstance.

三、易付宝账户注册及安全

Ⅲ. Registration and security of SuningPay Account

（一）易付宝账户注册

（二）(Ⅰ) Registration of SuningPay Account

在使用易付宝服务前，商家必须先行注册易付宝账户，取得苏宁易付宝提供给商家的“易付宝账户”（以下可简称为“该账户”），商家同意：

Before enjoying SuningPay Service, the Merchant must register SuningPay Account in advance, and acquire the “SuningPay Account” (hereinafter referred to as “the Account”) from SuningPay. The Merchant agrees:

1、商家必须是具备完全民事行为能力的自然人，或者是具有合法资格的法人或其他组织。合法资格的法人或其他组织，是指经过合法程序成立，具有特定资质，取得相应权利能力和行为能力、能够承担民事责任的法人或其他组织。无民事行为能力人、限制民事行为能力人，以及无合法资格的法人或其他组织，不应当注册为易付宝用户，其与苏宁易付宝之间的服务协议自始无效，苏宁易付宝一经发现，有权立即注销该账户。

1. The Merchant must be a natural person with a full civil conduct capacity, or a legal person or any other organization with legal qualifications. “A legal person or any other organization with legal qualifications” refers to a legal person or any other organization which has been established through legal procedures, which has acquired specific qualifications and corresponding right capacity and conduct capacity, and which can assume civil liability. Any person without civil conduct capacity, any person with limited civil conduct capacity, or any legal person or any other organization with no legal qualifications shall not register itself as a user of SuningPay, and its service agreement with SuningPay shall remain ineffective from the beginning. Once SuningPay finds out the above, SuningPay shall have the right to immediately cancel the account.

2、商家正常完成易付宝账户注册后，只有商家本人可以使用易付宝账户，该账户不可转让、不可借用、不可赠与、不可继承。在商家决定不再使用该账户时，商家应将该账户下所对应的可用款项全部提现或者向苏宁易付宝发出其它支付指令后，向苏宁易付宝申请注销该账户。

2. After the Merchant normally completes the registration of its SuningPay Account, none other than the Merchant itself can gain access to the SuningPay Account. The account cannot be transferred, lent, bestowed or inherited. When deciding not to access the account any longer, the Merchant shall withdraw all the available funds under the account or issue any other payment instruction to SuningPay, before applying to SuningPay for cancelling the account.

3、商家有义务在申请注册时提供自己的真实资料，并保证诸如电子邮件地址、联系电话、联系地址、邮政编码、有效身份信息等信息（包括但不限于身份证、营业执照等内容）的有效性及安全性，保证苏宁易付宝可以通过该等联系方式与商家进行联系。

3. The Merchant is obliged to provide truthful data about itself while applying for registration, and ensure the effectiveness and security of such information as email address, telephone number, postal address, zip code and effective identity information (including but not limited to identity card and business license), and guarantee that SuningPay can get in touch with the Merchant through the above-mentioned contact information.

4、商家有义务在相关资料实际变更时及时更新有关注册资料。商家保证不将他人资料用于易付宝账户的注册和认证；若商家提供任何错误、不实、过时或不完整的资料，或者苏宁易付宝有合理的理由怀疑资料为错误、不实、过时或不完整，则苏宁易付宝有权暂停或终止商家的商家易付宝账号，并拒绝商家使用易付宝服务之部分或全部功能，苏宁易付宝不承担任何责任，商家并同意负担因此所产生的直接或间接的任何支出及损失。

4. The Merchant is obliged to timely upgrade relevant registration data which have actually changed. The Merchant shall not use the data of others for the registration and certification of SuningPay Account. If the Merchant provides any wrong, untruthful, outdated or incomplete data, or SuningPay has a good reason to suspect that the data are wrong, untruthful, outdated or incomplete, then SuningPay shall have the right to suspend or terminate the SuningPay Account Number of the Merchant, and forbid the Merchant to partially or wholly enjoy the functions of SuningPay Service without assuming any liability, and the Merchant shall bear any direct or indirect expense or loss arising accordingly.

5、因商家未及时更新商家的注册资料，导致苏宁易付宝无法正常提供易付宝服务或提供服务时发生任何错误，商家不得将此作为取消交易、拒绝付款的理由，商家将承担因此产生的一切后果，苏宁易付宝不承担任何责任。

5. If SuningPay cannot normally offer SuningPay Service or commits any error while offering the service because the Merchant fails to timely upgrade its registration data, then the Merchant shall not cancel the transaction or refuse to make payment accordingly, the Merchant shall bear all consequences thus caused, and SuningPay will not assume any liability.

6、商家同意，基于运行和交易安全及提高服务质量的需要,苏宁易付宝可以暂时停止提供或者限制易付宝服务的部分功能,或提供新的功能；在任何功能减少、增加或者变化时,只要商家仍然继续使用易付宝服务,即表明商家知晓并同意该等变更。

6. The Merchant agrees that: as required by the security of operation and transaction and the improvement of service quality, SuningPay can temporarily stop or limit some functions of SuningPay Service, or provide new functions. When any functions are reduced, increased or changed, as long as the Merchant still continues to enjoy SuningPay Service, the Merchant shall be regarded as understanding and accepting the above-mentioned alteration.

（二）易付宝账户密码及安全

(Ⅱ)Password and security of SuningPay Account

商家有义务妥善保管易付宝账户密码，确保机密安全；商家将对使用该易付宝账户和密码所进行的一切行为，负完全的责任，并同意遵守和执行以下事项：

The Merchant is obliged to take good care of the password of its SuningPay Account and ensure its confidentiality and security. The Merchant shall be solely responsible for all behaviors based on its SuningPay Account and password, and agree to abide by and carry out the following items:

1、苏宁易付宝通过商家的易付宝账户和密码来识别商家的指示，请商家妥善保管商家的易付宝账户和密码，对于因密码泄露所致的损失，由商家自行承担。商家保证不向其他任何人泄露商家的易付宝账户及密码，亦不使用其他任何人的易付宝账户及密码。

1. SuningPay identifies the Merchant’s instructions through the Merchant’s SuningPay Account and password. The Merchant shall take good care of its SuningPay Account and password, and shall solely bear any loss arising from the divulgence of the password. The Merchant shall neither divulge its SuningPay Account and password to any other person, nor use any other person’s SuningPay Account and password.

2、如商家发现有他人冒用或盗用商家的易付宝账户及密码或任何其他未经合法授权之情形时，应立即以有效方式通知苏宁易付宝，要求苏宁易付宝暂停相关服务、采取应急措施。同时，商家理解苏宁易付宝对商家的请求采取行动需要合理期限。在苏宁易付宝采取行动之前，苏宁易付宝对已执行的指令及(或)所导致的商家的损失不承担任何责任。

2. If the Merchant finds out that any other person uses the Merchant’s SuningPay Account and password in the Merchant’s name and without the Merchant’s permission or engages in any other similar behavior without the lawful authorization of the Merchant, the Merchant shall immediately notify SuningPay in an effective way, and demand SuningPay to suspend relevant service and take emergency measures. In addition, the Merchant understands that a reasonable period is required for SuningPay to take actions against the Merchant’s request. Before taking any action, SuningPay shall not assume any liability for the instructions that have already been executed and(or) the losses the Merchant has incurred.

3、交易异常处理

3. Handling of abnormal transactions

（1）商家使用易付宝服务时，可能由于银行本身系统问题、银行相关作业网络连线问题或其他不可抗拒因素，造成易付宝服务无法提供。商家应确保商家所输入的商家的资料无误，如果因资料错误造成苏宁易付宝于上述异常状况发生时，无法及时通知商家相关交易后续处理方式的，苏宁易付宝不承担任何责任。

（1）Due to the bank’s system problem, the bank’s network link problem with relevant operations or any other force-majeure factor, SuningPay Service may become unavailable for the Merchant sometimes. The Merchant shall ensure that the Merchant’s data that the Merchant has provided are correct. If SuningPay cannot timely notify the Merchant of the subsequent handling way of relevant transactions when the above-mentioned abnormality occurs because the Merchant has provided any wrong data, SuningPay shall not assume any liability for this.

（2）苏宁易付宝有权了解商家使用易付宝服务的真实交易背景及目的，商家应如实提供苏宁易付宝所需的真实、全面、准确的信息；如果苏宁易付宝有合理理由怀疑商家提供虚假交易信息的，苏宁易付宝有权暂时或永久限制商家所使用的易付宝服务部分或全部功能。

（2）SuningPay shall have the right to know the real transaction background and purpose for the Merchant to enjoy SuningPay Service. The Merchant shall truthfully provide the real, comprehensive and accurate information required by SuningPay. If SuningPay has a good reason to suspect that the Merchant has provided any false transaction information, SuningPay shall have the right to temporarily or permanently limit part or all of the functions enjoyed by the Merchant.

（3）苏宁易付宝在发现商家的易付宝账户可能存在异常交易，或可能存在违反法律或本协议约定情形时，有权不经通知先行暂停或终止该账户的使用（包括但不限于对该账户名下的款项和在途交易采取取消交易、调账等限制措施），并拒绝商家使用易付宝服务之部分或全部功能。

（3）If SuningPay finds out any possible abnormal transaction or any possible violation of laws or the Agreement on the SuningPay Account of the Merchant, then SuningPay shall have the right to, without any prior notice, suspend or terminate the use of this account (including but not limited to taking such restrictive measures as transaction canceling or account adjustment to any fund or ongoing transaction in the name of this account) , and forbid the Merchant to enjoy some or all functions of SuningPay Service.

四、易付宝服务使用规则条款

Ⅳ. Terms of SuningPay Service User Rules

为有效保障商家使用易付宝服务进行交易时的合法权益，商家理解并同意接受以下规则：

In order to effectively ensure that the Merchant can enjoy relevant lawful rights and interests while carrying out transactions through SuningPay Service, the Merchant hereby understands and accepts the following rules:

（一）一旦商家使用易付宝服务，商家即授权苏宁易付宝代理商家处理款项代收、代付等事项，包括但不限于在商家及（或）商家指定人符合指定条件或状态时，支付款项给商家指定的人，或收取其他易付宝用户等商家的交易相对方支付给商家的款项。

(Ⅰ) Once the Merchant begins to enjoy SuningPay Service, the Merchant shall immediately authorize SuningPay to handle fund collection, payment and other affairs on behalf of the Merchant, including but not limited to paying any fund to a person designated by the Merchant when the Merchant and/or the person designated by the Merchant meet/meets the designated conditions or states, or collecting any fund which is paid by the transaction counterparties of the Merchant, e.g. other SuningPay users, to the Merchant.

（二）苏宁易付宝通过以下方式接受来自商家的指令：操作人在苏宁易购网站或其他可使用易付宝服务的网站/终端上通过登录商家的易付宝账户密码及或数字证书，并依照易付宝服务预设流程确认并向苏宁易付宝发出交易指令，都视为商家本人向苏宁易付宝发出的指令，都不可撤回或撤销或抵赖，且成为苏宁易付宝代理商家支付或收取款项或提供其他易付宝服务的唯一指令；苏宁易付宝不因忠实执行该等指令而承担任何责任。在商家与第三方发生交易纠纷时，商家授权苏宁易付宝自行判断并决定将争议货款的全部或部分支付给交易的一方或双方，苏宁易付宝无须为此承担责任。

(Ⅱ) SuningPay shall accept any instruction from the Merchant in the following ways: If the operator logs onto the Merchant’s SuningPay Account password and/or digital certificate on the website of Suning E-Commerce or any other website/terminal through which SuningPay Service can be accessed, and confirms and issues a transaction instruction to SuningPay according to the presetting procedures of SuningPay Service, then the instruction shall be regarded as an irrevocable, irreversible and undeniable instruction that the Merchant issues to SuningPay, and shall become the only instruction for SuningPay to pay or collect any fund on behalf of the Merchant or offer any other SuningPay Service to the Merchant. SuningPay shall not assume any liability for loyally carrying out this instruction. If any transaction dispute occurs between the Merchant and any third party, the Merchant shall authorize SuningPay to, based on its own judgment and decision, wholly or partially pay the disputed fund to either party or both parties of the transaction, and SuningPay shall not assume any liability under such circumstances.

（三）商家在使用易付宝服务过程中，本协议内容、相关网页上出现的关于交易操作的规则和提示、或苏宁易付宝发送给商家的信息中所提到的规则内容都属于商家使用易付宝服务的相关规则，属于易付宝服务规则的组成部分，商家使用易付宝服务即表示商家同意接受易付宝服务规则。商家了解并同意苏宁易付宝有权单方修改易付宝服务规则，而无须事先征得商家的同意。

(Ⅲ) When the Merchant enjoys SuningPay Service, the contents of the Agreement, the rules and prompts about transaction operation occurring on relevant web pages, or any rule contents mentioned in the information that SuningPay sends to the merchant shall belong to the relevant rules for the Merchant to enjoy SuningPay Service and shall be an integral part of SuningPay Service Rules. If the Merchant begins to enjoy SuningPay Service, the Merchant shall be regarded as having approved and accepted SuningPay Service Rules. The Merchant understands and agrees that SuningPay shall have the right to unilaterally modify SuningPay Service Rules without obtaining the prior permission of the Merchant.

（四）苏宁易付宝会以电子邮件、短信、电话等方式通知商家交易进展情况以及提示商家进行下一步的操作，但苏宁易付宝不保证商家能够收到或者及时收到该邮件或通知，且不对此承担任何后果，因此，在交易过程中商家应当及时登录到相关交易网站查看和进行交易操作。因商家没有及时查看和对交易状态进行修改或确认或未能提交相关申请而导致的任何纠纷或损失，苏宁易付宝不负任何责任。

(Ⅳ) SuningPay shall notify the Merchant of the progress of relevant transactions and prompt the Merchant to conduct next-step operation by email, short message, telephone, etc. However, SuningPay will not guarantee that the Merchant can receive or timely receive the mail or notice and will not bear any consequence for this. Therefore, in the process of transactions, the Merchant shall timely log onto the relevant transaction website to check and carry out relevant transaction operation. SuningPay will not be responsible for any dispute or loss arising from the Merchant’s failure to timely check and modify or confirm the transaction state, or the Merchant’s failure to submit relevant application.

（五）苏宁易付宝并非银行或其它金融机构，对于商家易付宝账户项下的款项，苏宁易付宝无义务向商家支付利息或其他对价，亦不承担资金贬值的风险。本协议项下的资金移转均通过银行来实现，商家理解并同意资金在流转途中需要合理时间。

(Ⅴ) SuningPay is not a bank or any other financial institution. Therefore, SuningPay is neither obliged to pay any interest or any other consideration to the Merchant nor bear any risk of devaluation for any fund under the SuningPay Account of the Merchant. The fund transfer under the Agreement shall be realized through a bank. The Merchant understands and agrees that a reasonable period is required for the circulation of funds.

（六）充值：当商家注册并获得易付宝账户，商家可通过银行服务进行在线充值，以便商家交易时可以快捷安全地支付。

(Ⅵ) Recharge: After the Merchant registers and obtains its SuningPay Account, the Merchant can carry out online recharging through the bank service, so that the Merchant can make speedy and safe payment during transactions.

（七）交易额度限制：为合理控制风险，苏宁易付宝拥有不时自主调整商家的易付宝账户在一定时期内交易限额的权利。

(Ⅶ) Limit of transaction amount: In order to reasonably control risks, SuningPay shall have the right to adjust the limit of transaction amount of the Merchant’s SuningPay Account in a certain period at any time and on its own.

（八）易付宝账户认证服务：在商家注册成为易付宝用户时，商家即授权苏宁易付宝通过银行或向第三者审核商家的身份和资格，并通过江苏苏宁易购电子商务有限公司或其它合作方取得关于商家使用易付宝服务的相关资料。苏宁易付宝有权采取各种苏宁易付宝认为必要的手段对商家的身份进行识别。若商家未通过实名认证，他人通过易付宝服务向商家支付款项时，相应款项可能将无法使用或提现；同时，商家授权苏宁易付宝可以暂时代为保管该款项，直到商家完成实名认证方可使用或提现。

(Ⅷ) The certification service of SuningPay Account: When the Merchant becomes a SuningPay user through registration, the Merchant shall immediately authorize SuningPay to verify the Merchant’s identity and qualification through a bank or to any third person, and obtain the relevant data for the Merchant to enjoy SuningPay Service through Suning E-Commerce Co., Ltd. or any other business partner. SuningPay shall have the right to confirm the Merchant’s identity through any measure deemed necessary by SuningPay. If the Merchant fails to pass the real-name certification, then the corresponding funds will possibly become unavailable or unwithdrawable when others pay any funds to the Merchant through SuningPay Service. In addition, the Merchant shall authorize SuningPay to temporarily take care of the funds on behalf of the Merchant, and the funds can become available and withdrawable only after the Merchant has completed the real-name certification.

（九）信息发布：商家使用易付宝服务时，请严格遵守相关信息发布规则，不发布虚假信息及违法信息，苏宁易付宝有权利（但无义务）对商家发布的信息进行审核，同时对于商家发布的信息引起的任何纠纷，苏宁易付宝将不承担任何责任。

(Ⅸ) Information release: While enjoying SuningPay Service, the Merchant shall strictly abide by the rules about information release, and shall not release any false or illegal information. SuningPay shall have the right (but is not obliged) to verify the information released by the Merchant, and will not assume any liability for any dispute arising from the information released by the Merchant.

（十）连线设备：为使用易付宝服务，商家应当使用具备良好品质的网络及互联网连线设备。若因商家的连线设备损坏或故障，造成商家与易付宝服务连接时所进行的交易和提现记录丢失的，苏宁易付宝将不承担商家因此遭受的任何损失。

(Ⅹ) Linking equipment: In order to enjoy SuningPay Service, the Merchant shall have qualified network and Internet linking equipment. If any transaction or withdrawal record is lost when the Merchant is linked with SuningPay Service due to any damage or failure of the Merchant’s linking equipment, SuningPay will not bear any loss the Merchant has incurred accordingly.

（十一）交易风险

(Ⅺ) Transaction risks

（1）在使用易付宝服务时，若商家及交易对方未遵从本协议或易付宝服务规则，则苏宁易付宝有权拒绝为商家与交易对方提供相关服务，且苏宁易付宝不承担违约和损害赔偿责任。若发生上述状况，而款项已先行划付至商家或他人的易付宝账户名下，商家同意苏宁易付宝有权直接自相关易付宝账户余额中扣回款项及（或）禁止商家要求支付此笔款项之权利。此款项若已汇入商家的银行账户，商家同意苏宁易付宝拥有向商家追索的权利，因商家的原因导致苏宁易付宝进行款项追索的，商家应当承担苏宁易付宝合理的追索费用（包括但不限于律师费、公证费、诉讼费等费用）。

（1）If the Merchant and its transaction counterparty fail to abide by the Agreement or SuningPay Service Rules while enjoying SuningPay Service, then SuningPay shall have the right to refuse to offer relevant services to the Merchant and its transaction counterparty without assuming any default or damage compensation liability. If the above-mentioned circumstance occurs, and the relevant fund has already been transferred and paid to the SuningPay Account of the Merchant or any other person, then the Merchant shall authorize SuningPay to directly deduct and recover the corresponding fund from the balance of the relevant SuningPay Account and (or) forbid the Merchant to demand for the payment of this fund. If the fund has already been remitted to the bank account of the Merchant, then the Merchant shall agree that SuningPay has the right of recourse to the Merchant. If SuningPay exercises the right of recourse due to the Merchant’s fault, the Merchant shall bear the reasonable recourse fees of SuningPay (including but not limited to lawyer fee, notarization fee, and litigation fee).

（2）因商家的原因导致的任何损失由商家自行承担，该原因包括但不限于：未按照交易提示操作，未及时进行交易操作，遗忘或泄漏易付宝账户密码，易付宝账户密码被他人破解，商家使用的计算机或连网设备被他人侵入等。

（2）The Merchant shall solely bear any loss caused by the Merchant’s own faults, including but not limited to: failure to carry out operation according to the transaction prompts; failure to carry out transaction operation in time; forgetting or divulging the password of SuningPay Account; the password of SuningPay Account is decoded by any other person; the computer or network linking equipment of the Merchant is invaded by any other person.

（3）苏宁易付宝对商家所交易的标的物不提供任何形式的鉴定、证明的服务。

（3）SuningPay shall not provide the service of authentication or attestation in any form to any transaction object of the Merchant.

（4）商家理解并同意，易付宝有权基于独立判断对商家的账户交易风险进行监测，并可以根据风险监测结果对商家使用的易付宝账户采取冻结等风险控制措施。商家涉嫌利用易付宝账户或系统侵害他人权益时，商家将独立承担全部赔偿责任，如易付宝已经先行代偿的，商家同意易付宝有权通过直接冻结、扣划商家易付宝账户相应资金的方式追偿。

（4）The Merchant understands and agrees that SuningPay has the right to, at its discretion, monitor the account transaction risks of the Merchant, and take such risk control measures as freezing to the SuningPay Account of the Merchant according to the result of risk monitoring. If the Merchant is suspected of infringing upon any other person’s rights or interests by using the SuningPay account or system, the Merchant shall solely assume all compensation liabilities. If SuningPay has already made any compensation on behalf of the Merchant, the Merchant shall authorize SuningPay to recover the compensation by directly freezing or deducting/transferring a corresponding fund on the SuningPay Account of the Merchant.

（十二）交易行为

(Ⅻ) Transaction behaviors

为了保障商家使用本服务的安全以及不断改进服务质量，苏宁易付宝将记录并保存商家登录和使用本服务的相关信息，但苏宁易付宝承诺不将此类信息提供给任何第三方（但双方另有约定、法律另有规定，及苏宁易付宝的关联公司、辅助合作单位除外）。

In order to ensure the Merchant’s safe access to the Service and continuously improve service quality, SuningPay will record and save the information for the Merchant’s log into and access the Service, but SuningPay shall promise not to provide any information of this kind to any third party (unless otherwise agreed between both parties or specified by relevant laws and apart from any affiliated company or auxiliary cooperator of SuningPay).

（十三）数据分析和发布

(ⅩⅢ) Data analysis and release

商家同意，苏宁易付宝有权收集整理易付宝用户的身份、交易行为、用户偏好等信息，并出于科研、商业、销售或奖励等需要使用或披露有关统计分析信息（该等统计分析信息不足以使他人识别出商家本人的隐私信息）。

The Merchant agrees that SuningPay shall have the right to collect and sort the identity, transaction behaviors, preference and other information of the SuningPay user, and use or divulge the relevant information of statistical analysis for scientific research, commerce, sales, reward or any other requirement (The information of statistical analysis shall not sufficiently enable any other person to identify the Merchant’s private information).

（十四）Cookie的使用及设备软硬件配置信息的收集。

(ⅩⅣ) The use of Cookie and the collection of information about equipment software and hardware configuration.

商家了解并同意，苏宁易付宝使用Cookie来使易付宝服务对用户更友好（它可以跟踪商家的浏览器的状态，帮商家省去为使用本服务而重复输入注册信息的繁琐），同时，苏宁易付宝可以收集由商家设备的软硬件配置信息生成的特征信息，用于标识商家的设备，以便更好地为商家服务。

The Merchant understands and agrees that SuningPay can use Cookie to make SuningPay Service friendlier to users (It can monitor the state of the Merchant’s browser, and save the Merchant from the tedious work of repeatedly entering the registration information to access the Service). In addition, SuningPay can collect any characteristic information generated by the software/hardware configuration information of the Merchant’s equipment, and use the characteristic information to identify the Merchant’s equipment, so as to offer better services to the Merchant.

（十五）为更有效地向商家提供服务，商家同意，苏宁易付宝有权将商家注册及使用本服务过程中所提供、所形成的信息提供给苏宁易付宝的关联公司或辅助合作单位。

(ⅩⅤ) In order to more effectively serve the Merchant, the Merchant agrees that SuningPay shall have the right to provide the information provided or generated when the Merchant registers and enjoys the Service to any affiliated company or auxiliary cooperator of SuningPay.

同时，为更安全有效地向商家提供服务，根据法律法规的规定，或苏宁易付宝认为需识别商家的身份，或苏宁易付宝认为商家的易付宝账户存在风险时，苏宁易付宝有权要求商家提交身份信息。如果商家是自然人，需要商家提交的身份信息包括但不限于身份证、户口本、护照等证件或其他证明文件；如果商家是单位或企业，需要商家提交的身份认证信息包括但不限于营业执照或其他合法经营证明、组织机构代码证、税务登记证或其他合法纳税证明、法定代表人或负责人有效身份证明、主要联系人有效身份证明、行业许可证、财务报告、银行对账单、经营场所证明等材料。当商家提供的身份证明文件有效期到期时，商家应向易付宝提供更新后的文件，否则商家可能无法正常使用商家的易付宝账户。

In addition, in order to serve the Merchant more safely and effectively, SuningPay shall have the right to demand the Merchant to submit its identity information according to any provision of laws and regulations or when it is necessary to ascertain the Merchant’s identity or when the Merchant’s SuningPay Account is risky in the opinion of SuningPay. If the Merchant is a natural person, then the identity information that needs to be submitted by the Merchant shall include but not limited to identity card, household register, passport and other certificates. If the Merchant is an organization or an enterprise, then the identity information that needs to be submitted by the Merchant shall include but not limited to business license or any other lawful operation certificate, organization code certificate, tax registration certificate or any other lawful tax payment certificate, effective identity certificate of legal representative or person-in-charge, effective identity certificate of major contact person, industry license, financial report, bank statement, certificate of business operation site and other data. When the valid period of any identity certificate provided by the Merchant expires, the Merchant shall provide an upgraded version to SuningPay; otherwise the Merchant may be unable to normally access the Merchant’s SuningPay Account.

除本协议另有规定外，苏宁易付宝不对外公开或向第三方提供商家的信息，但以下情况除外：

Unless otherwise specified in the Agreement, SuningPay shall not publicize to the outside or provide any third party with the Merchant’s information, except under the following circumstances:

A、事先获得商家的明确授权；

A. Have obtained the Merchant’s explicit authorization in advance;

B、只有披露商家的资料，才能提供商家需要的产品和（或）服务；

B. Can supply the products demanded by the Merchant and/or offer the services demanded by the Merchant only after disclosing the Merchant’s data;

C、按照本协议的要求进行的披露；

C. Disclose the information according to the Agreement;

D、根据法律法规的规定；

D. According to relevant laws and regulations;

E、按照政府主管部门的要求；

E. According to the requirements of the competent authorities;

F、为维护苏宁易付宝及其关联公司的合法权益；

F. In order to safeguard the lawful rights and interests of SuningPay and its affiliated company;

G、商家使用易付宝账户成功登录过的其他网站合理要求；

G. According to the reasonable requirements of other websites the Merchant has successfully logged onto with the SuningPay Account;

H、对商家或商家所代表公司的身份真实性进行验证。

H. Authenticate the identity of the Merchant or the company represented by the Merchant.

（十六） 外部链接

(ⅩⅥ) External linking

苏宁易购网站可能含有到其他网站的链接，但苏宁易付宝对其他网站的隐私保护措施不负任何责任。苏宁易付宝可能在任何需要的时候增加商业伙伴或共用品牌的网站。

The website of Suning E-Commerce may contain links to other websites. However, SuningPay is not responsible for the privacy protection measures to other websites. SuningPay may increase websites of business partners or shared brands when necessary.

（十七）安全

(ⅩⅦ) Security

苏宁易付宝仅按现有技术提供相应的安全措施来使苏宁易付宝掌握的信息不丢失，不被滥用和变造。这些安全措施包括向其它服务器备份数据和对用户密码加密。尽管有这些安全措施，但苏宁易付宝不保证这些信息的绝对安全。

SuningPay provides corresponding security measures merely according to its existing technology to prevent the information under the control of SuningPay from being lost, abused and altered. These security measures include back-upping data to other servers and encrypting user passwords. In spite of these security measures, SuningPay will not guarantee the absolute security of the information.

（十八）查询、冻结或扣划

(ⅩⅧ) Inquiry, freezing or deduction

商家同意，为了商家的易付宝账户及其中资金的安全，根据本协议的约定、法律法规及法律文书的规定、政府依行政职权的要求及苏宁易付宝依据自行判断认为的可能对商家的易付宝账户产生风险或者商家的易付宝账户存在风险的情况，苏宁易付宝有权对商家的易付宝账户进行冻结，即进行暂时关闭该账户部分或全部使用权限的操作。冻结的逆过程为解冻，即苏宁易付宝对商家的被冻结的易付宝账户结束冻结。当冻结发生时，如商家申请解冻，苏宁易付宝有权依照自行判断根据本项规定前述的冻结原因来决定是否允许解冻，商家应充分理解商家的解冻申请并不必然被允许，且申请解冻时商家应当配合苏宁易付宝核实商家的身份的有关要求，根据易付宝要求提供商家的有效身份信息。如果商家是自然人，需要商家提交的身份信息包括但不限于身份证、户口本、护照等证件或其他证明文件；如果商家是单位或企业，需要商家提交的身份信息包括但不限于营业执照或其他合法经营证明、组织机构代码证、税务登记证或其他合法纳税证明、法定代表人或负责人有效身份证明、主要联系人有效身份证明、行业许可证、财务报告、银行对账单、经营场所证明等材料。

The Merchant agrees that: For the security of the Merchant’s SuningPay Account and its funds, SuningPay shall have the right to freeze the Merchant’s SuningPay Account, namely temporarily closing some or all access authorities of this account, according to the provisions of the Agreement, the provisions of relevant laws and regulations and legal documents, and the requirements put forward by the government according to their administrative powers, or under the circumstances which may bring risks to or which have brought risks to the Merchant’s SuningPay Account according to the self-judgment of SuningPay. The inverse process of freezing is unfreezing, namely: SuningPay unfreezes the Merchant’s frozen SuningPay Account. After freezing occurs, if the Merchant applies for unfreezing, SuningPay shall have the right to decide whether to approve the unfreezing application at its own discretion and according to the above-mentioned reasons of freezing in this paragraph. The Merchant shall fully understand that the unfreezing application of the Merchant will not necessarily be approved, and the Merchant shall, while applying for unfreezing, assist SuningPay in verifying the Merchant’s identity and provide the Merchant’s effective identity information according to SuningPay’s requirements. If the Merchant is a natural person, then the identity information that needs to be submitted by the Merchant shall include but not limited to identity card, household register, passport and other certificates. If the Merchant is an organization or an enterprise, then the identity information that needs to be submitted by the Merchant shall include but not limited to business license or any other lawful operation certificate, organization code certificate, tax registration certificate or any other lawful tax payment certificate, effective identity certificate of legal representative or person-in-charge, effective identity certificate of major contact person, industry license, financial report, bank statement, certificate of business operation site and other data.

另外，商家同意并不可撤销地授权苏宁开放平台运营方江苏苏宁易购电子商务有限公司有权向苏宁易付宝发出暂停为商家的易付宝账户提供充退、代收等服务的冻结指令（“苏宁开放平台冻结指令”），苏宁易付宝收到该等冻结指令后，有权按照该指令进行商家的易付宝账户款项冻结等操作，而无须事先征求商家的同意。当江苏苏宁易购电子商务有限公司向苏宁易付宝发出冻结指令后，商家无权再要求苏宁易付宝为商家办理充退、代付等与苏宁开放平台冻结指令相冲突的操作；如在苏宁易付宝收到苏宁开放平台冻结指令前，商家已经向苏宁易付宝发出充退、代付指示，但商家的指示尚未执行完毕的，则苏宁易付宝有权停止执行商家的指示，并撤销商家的指示中已经执行的部分。商家与江苏苏宁易购电子商务有限公司关于苏宁开放平台冻结指令产生的争议，由商家与该公司自行协商解决。

In addition, the Merchant agrees and irrevocably authorizes the operator of Suning Open Platform (Jiangsu Suning E-Commerce Co., Ltd.) to issue to SuningPay such freezing instructions as suspending such services as recharge-refund and collection to the Merchant’s SuningPay Account (“The freezing instructions of Suning Open Platform”). After receiving such freezing instructions, SuningPay shall have the right to carry out such operations as freezing to the funds on the Merchant’s SuningPay Account according to the instructions without obtaining the Merchant’s prior permission. After Jiangsu Suning E-Commerce Co., Ltd. issues a freezing instruction to SuningPay, the Merchant shall no longer have the right to demand SuningPay to handle recharge-refund or payment or any other operation which conflicts with the freezing Instruction of Suning Open Platform. If the Merchant has already issued any recharge-refund or payment instruction to SuningPay before SuningPay receives the freezing instruction of Suning Open Platform, and the Merchant’s instruction has not yet been completely carried out, then SuningPay shall have the right to stop carrying out the Merchant’s instruction and cancel the completed part of the Merchant’s instruction. Any dispute arising from the freezing instruction of Suning Open Platform between the Merchant and Jiangsu Suning E-Commerce Co., Ltd. shall be settled independently by the Merchant through mutual consultation with the said company.

商家同意，苏宁易付宝有权按照包括但不限于公安机关、检察机关、法院、海关、税务机关等司法机关、行政机关、军事机关的要求对商家在易付宝的资金及账户等进行查询、冻结或扣划。

The Merchant agrees that SuningPay has the right to inquire about, freeze or deduct/transfer any fund, account, etc. of the Merchant at SuningPay according to the requirements of judiciary, administrative and military organs, including but not limited to public security organ, procuratorial organ, law court, customs office and taxation organ.

五、“易付宝服务”使用限制

Ⅴ. Access limitation of “SuningPay Service”

（一）如果商家破坏、入侵、修改易付宝服务功能或其安全防护体系或者实施其他危害易付宝服务功能或安全防护体系的行为，商家的账户将会被注销，且商家必须承担一切损害赔偿等法律责任。

(Ⅰ) If the Merchant destroys, invades or alters the functions of SuningPay Service System or its security protection system or takes any other action which endangers the functions or security protection system of SuningPay Service, then the Merchant’s account will be cancelled, and the Merchant must assume all relevant legal liabilities including damage compensation.

（二）苏宁易付宝或相关合作网站中描述的包括但不仅限于易付宝的商标和相关产品及服务，其全部权利均归属于苏宁易付宝。未经苏宁易付宝书面同意和许可，禁止他人使用或实施任何侵权行为。

(Ⅱ) As for what is described on the website of SuningPay or any other relevant cooperative website, including but not limited to SuningPay’s trademark and relevant products and services, all relevant rights and interests shall belong to SuningPay. Without the written permission and approval of SuningPay, nobody else can use them or take any infringing action against them.

（三）在发生或可能发生任何违法交易、盗窃或诈骗行为等触犯法律之情况时，苏宁易付宝将按照有权机关之指示行使或采取应急措施。由此造成易付宝账户冻结或款项转移而涉及商家的合法权益时，商家应及时主动向苏宁易付宝、银行或有权机关提供有关交易证据，必要时商家应就商家提供的证据向银行或有权机关进行说明，如未能提供真实有效的交易证据，商家应独立承担由此造成的一切损失。

(Ⅲ) If any illegal transaction, theft, fraud, or any other violation of law occurs or may occur, SuningPay will exercise or take emergency measures according to the instruction of any competent authority. If any lawful right or interest of the Merchant is involved when its SuningPay account is frozen or its fund is transferred accordingly, the Merchant shall timely and actively provide relevant transaction evidence to SuningPay, the bank or competent authorities. When necessary, the Merchant shall make due explanation to the bank or competent authorities on the evidence provided by the Merchant. If the Merchant fails to provide any truthful and effective transaction evidence, the Merchant shall independently bear all losses thus caused.

（四）为使商家的合法权益在发生易付宝账户冻结并申请索回款项时得到有效的保护，商家需保留与实际交易有关的一切凭证。

(Ⅳ) In order to effectively protect the Merchant’s lawful rights and interests when the Merchant’s SuningPay Account is frozen and the merchant applies for recovering its funds, the Merchant needs to reserve all certificates associated with its actual transactions.

六、易付宝服务收费条款

Ⅵ. Terms of SuningPay Service Charging

（一） 收费标准

(Ⅰ) Charging standards

当商家在苏宁开放平台使用“易付宝服务”时，商家应同时向苏宁易付宝支付易付宝服务费（“手续费”）手续费为0。

When the Merchant enjoys “SuningPay Service” on Suning Open Platform, the Merchant shall pay SuningPay Service Charge (“Service Fee”) to SuningPay at the same time. Service Fee is 0.

如商家未按时向苏宁易付宝支付手续费的，商家除应当立即支付手续费外，在迟延支付期间，商家还应当以未付金额为本金，按日万分之五的计算标准向苏宁易付宝支付迟延付款违约金。

If the Merchant fails to pay the service fee to SuningPay on time, then the Merchant shall not only immediately pay the service fee, but also pay a late payment default fine to SuningPay equivalent to 5/10000 of the unpaid amount for each day of deferred payment.

（二） 手续费收取方式

(Ⅱ) The way of charging the service fee

商家同意苏宁易付宝有权自商家的易付宝账户上直接扣除手续费及其他商家应支付给苏宁易付宝的费用（如迟延付款违约金等）；如商家的易付宝账户余额不足以向苏宁易付宝支付手续费及其他应付费用的，则苏宁易付宝有权拒绝为商家提供易付宝服务；在商家的易付宝账户余额不足以支付手续费的情况下，若苏宁易付宝为商家提供了相应的易付宝服务的，则苏宁易付宝依然有权向商家收取相应的手续费，并可以在此后商家的易付宝账户余额中优先扣除商家应支付给苏宁易付宝的手续费及其他应付费用。

The Merchant agrees that SuningPay has the right to directly deduct the service fee and any other fee that the Merchant shall pay to SuningPay (e.g. late payment default fine) from the Merchant’s SuningPay Account. If the balance of the Merchant’s SuningPay Account cannot be used to fully pay the service fee and other payables to SuningPay, then SuningPay shall have the right to refuse to offer SuningPay Service to the Merchant. If the balance of the Merchant’s SuningPay Account cannot be used to fully pay the service fee, and SuningPay has already offered corresponding SuningPay Service, then SuningPay shall still have the right to charge a corresponding service fee on the Merchant, and thereafter can first deduct theservice fee and any other fee that the Merchant shall pay to SuningPay from the balance of the Merchant’s SuningPay Account.

除本协议约定方式外，苏宁易付宝还有权通过发布催收公告、提起诉讼等合法方式向商家收取商家应当支付给苏宁易付宝的手续费等费用。

In addition to the way specified in the Agreement, SuningPay shall have the right to charge the service fee and any other fee that the Merchant shall pay to SuningPay in such lawful ways as releasing a collection announcement and filing a lawsuit.

（三） 收费规则调整

(Ⅲ) The adjustment of charging rules

苏宁易付宝拥有制定及不时调整手续费收费标准之权利。苏宁易付宝调整手续费收费标准的，将通过苏宁易购网站或苏宁开放平台提前发布公告，新的收费标准自公告期届满生效。如商家不同意苏宁易付宝的手续费收费标准，商家应当而且唯一的救济途径是停止使用“易付宝服务”。当商家登录或继续使用“易付宝服务”即表示商家接受该最新有效的手续费收费标准。

SuningPay shall have the right to formulate the charging standards of the service fee and adjust them at any time. If SuningPay adjusts the charging standards of service fee, SuningPay shall release the new charging standards through the website of Suning E-Commerce or Suning Open Platform. Unless otherwise specified, the new charging standards shall immediately become effective since they are publicized. If the Merchant disagrees with the service fee charging standards of SuningPay, the Merchant shall stop enjoying “SuningPay Service” and the only relief approach for the Merchant shall be stopping enjoying “SuningPay Service”. When the Merchant logs into or continues to enjoy “SuningPay Service”, the Merchant shall be regarded as having accepted the latest effective charging standards of service fee.

七、系统中断或故障

Ⅶ. System interruption or failure

若易付宝软件系统因下列状况无法正常运作，使商家无法使用各项服务时，苏宁易付宝不承担违约及损害赔偿责任，该状况包括但不限于：

If the software system of SuningPay cannot operate normally under the following circumstances so that the Merchant cannot enjoy various services, then SuningPay shall not assume any default or damage compensation liability. These circumstances include but not limited to:

（一）苏宁易付宝公告系统停机维护期间。

(Ⅰ) In the halt and maintenance period of the announcement system of SuningPay.

（二）电信设备出现故障不能进行数据传输的。

(Ⅱ) The telecommunication equipment breaks down and cannot transmit data any longer.

（三）因台风、地震、海啸、洪水、停电、战争、恐怖袭击等不可抗力之因素，造成苏宁易付宝系统障碍不能执行业务的。

(Ⅲ) The system of SuningPay breaks down and cannot carry out any business due to such force majeure factors as typhoon, earthquake, tsunami, flood, power failure, war and terrorist attack.

（四）由于黑客攻击、电信部门技术调整或故障、网站升级、银行方面的问题等原因而造成的服务中断或者延迟。

(Ⅳ) The service is interrupted or delayed due to hacker attack, technical adjustment or breakdown of telecommunication department, website upgrading or bank problem.

（五）其他非苏宁易付宝的原因造成的易付宝服务中断或故障。

(Ⅴ) SuningPay Service halts or breaks down for any other reason than that of SuningPay.

八、用户的守法义务及承诺

Ⅷ. The user’s law-abiding obligation and promise

（一）商家在使用易付宝服务时应遵守中华人民共和国大陆地区有效适用之相关法律法规，不将易付宝服务用于任何非法目的，也不以任何非法方式使用易付宝服务。

(Ⅰ) While enjoying SuningPay Service, the Merchant shall abide by relevant laws and regulations which are effective and applicable in the mainland of the People’s Republic of China, and shall neither use SuningPay Service for any other illegal purpose, nor access SuningPay Service in any other illegal way.

（二）商家不得使用易付宝服务从事侵害他人合法权益等不法行为，否则苏宁易付宝有权拒绝提供本服务，且商家应承担所有相关法律责任，因此导致苏宁易付宝、苏宁易付宝工作人员、苏宁易付宝相关合作方或其有关他权利人受损的，商家应承担赔偿责任。上述不法行为包括但不限于：

(Ⅱ) The Merchant shall not use SuningPay Service to engage in any illegal act which infringes upon others’ lawful rights and interests; otherwise SuningPay shall have the right to refuse to offer the Service, and the Merchant shall assume all relevant legal liabilities, and the Merchant shall assume due compensation liability for any loss that SuningPay, the employees of SuningPay, the relevant business partners of SuningPay or any other relevant right owners have incurred accordingly. The above-mentioned illegal acts include but not limited to:

1、侵害他人名誉权、隐私权、商业秘密、商标权、著作权、专利权等合法权益。

1. Infringe upon others’ lawful rights and interests, including right of reputation, privacy right, business secret, trademark right, copyright and patent right.

2、违反依法定或约定之保密义务。

2. Violate any statutory or contractual confidentiality obligation.

3、冒用他人名义使用易付宝服务。

3. Enjoy SuningPay Service in the name of and without the permission of others.

4、从事不法交易行为，如洗钱、贩卖枪支、毒品、禁药、盗版软件、黄色淫秽物品、其他苏宁易付宝认为不得使用易付宝服务进行交易的物品等。

4. Engage in any illegal transaction behaviors, including money laundering, and peddling or trafficking of guns, narcotics, illicit drugs, pirated software and obscene and pornographic goods, or other articles that cannot be traded through SuningPay Service in the opinion of SuningPay.

5、提供赌博资讯或以任何方式引诱他人参与赌博。

5. Provide gamble information or tempt others into gambling in any other way.

6、非法使用他人银行账户（包括信用卡账户）或无效银行账号（包括信用卡账户）交易。

6. Illegally use any other person’s bank account (including credit card account) or invalid bank account (including credit card account) for transaction.

7、违反《银行卡业务管理办法》使用银行卡，或利用信用卡套取现金（以下简称套现）。

7. Use the bank card against the Management Measures of Bank Card Business, or use the credit card for monetization.

8、进行与商家或交易对方宣称的交易内容不符的交易，或不真实的交易。

8. Engage in any transaction inconsistent with that asserted by the Merchant or its transaction counterparty, or engage in any unreal transaction.

9、从事任何可能含有电脑病毒或是可能侵害本服务系统、资料之行为。

9. Engage in any behavior which may contain computer virus or may infringe upon this service system and data.

10、其他法律禁止或苏宁易付宝有正当理由认为不适当之行为。

10. Any other behavior banned by laws or any other behavior which SuningPay has a good reason to believe is improper.

（三）商家理解并同意，苏宁易付宝不对因下述任一情况导致的任何损害承担赔偿责任，包括但不限于利润、商誉、使用、数据等方面的损失或其他无形损失的损害赔偿 (无论苏宁易付宝是否已被告知该等损害赔偿的可能性)：

(Ⅲ) The Merchant understands and agrees that SuningPay shall not assume any compensation liability for any damage caused by any of the following circumstances, including but not limited to the damage compensation for loss in such aspects as profit, goodwill, utilization and data or any other intangible loss (No matter whether or not SuningPay has been informed of the possibility of this kind of damage compensation):

1、苏宁易付宝有权基于单方判断，包括但不限于苏宁易付宝认为商家已经违反本协议的规定，暂停或终止向商家提供易付宝服务或其任何部分。

1. SuningPay has the right to, based on its unilateral judgment, including but not limited to SuningPay’s judgment that the Merchant has already violated the provisions of the Agreement, suspend or terminate its SuningPay Service or any part of it to the Merchant.

2、在必要时，苏宁易付宝无需事先通知即可终止提供易付宝服务，并暂停、关闭或删除该账户及商家易付宝账号中所有相关资料及档案，并将商家滞留在该账户的全部合法资金退回到商家的银行账户。

2. When necessary, SuningPay can terminate the SuningPay Service without any prior notification, suspend, close or cancel this account and all relevant data and files in the Merchant’s SuningPay Account Number, and refund all lawful funds that the Merchant has left behind on this account to the Merchant’s bank account.

（四）如商家需要注销商家的易付宝账户，应先经苏宁易付宝审核同意。苏宁易付宝注销该账户，即表明苏宁易付宝与商家之间的协议已终止，但商家仍应对商家使用易付宝服务期间的行为承担可能的违约或损害赔偿等法律责任，同时苏宁易付宝仍可保有商家的相关资料信息。

(Ⅳ) If the Merchant needs to have its SuningPay Account cancelled, the Merchant shall obtain SuningPay’s approval and permission in advance. If SuningPay has canceled this account, then the agreement between SuningPay and the Merchant has been terminated, However, the Merchant shall still assume possible default, damage compensation and other legal liabilities for the Merchant’s behaviors in the period when the Merchant enjoys SuningPay Service, and SuningPay can still retain the Merchant’s relevant data and information.

九、责任范围及责任限制

Ⅸ. Scope and limitation of liabilities

（一）苏宁易付宝仅对本协议中列明的责任承担范围负责。

(Ⅰ) SuningPay assumes only the liabilities specified in the Agreement.

（二）商家明确因交易所产生的任何风险应由商家自行评估和承担。

(Ⅱ) The Merchant agrees that any risk arising from transactions shall be independently appraised and borne by the Merchant.

（三）易付宝用户信息是由用户本人自行提供的，苏宁易付宝无法保证该信息之准确、及时和完整，商家应对商家的判断承担全部责任。易付宝对用户的实名认证仅通过互联网的间接方式进行形式审核，无法进行实质性审核。

(Ⅲ) If the user information of SuningPay is provided by the user on its own, then SuningPay cannot ensure the accuracy, timeliness and integrity of the information and the Merchant shall assume all liabilities for its own judgment. In the case of the real-name certification of SuningPay to the user, SuningPay can only carry out formal verification in the indirect way of Internet, and cannot carry out any substantial verification.

（四）苏宁易付宝不对交易标的及本服务提供任何形式的保证，包括但不限于以下事项：

(Ⅳ) SuningPay will not provide any form of guarantee to the transaction object and the Service, including but not limited to:

1、本服务符合商家的需求。

1. The Service meets the Merchant’s demand.

2、本服务不受干扰、及时提供或免于出错。

2. The Service is free from any interruption, is timely offered or free of any error.

3、商家经由本服务购买或取得之任何产品、服务或其他资料符合商家的期望。

3. Any product, service or any other data purchased or acquired by the Merchant through the Service meets the Merchant’s expectation.

（五）本服务之合作单位，所提供之服务品质及内容由该合作单位自行负责。

(Ⅴ) Any cooperator of the Service shall be responsible for the quality and content of any service offered by the cooperator.

（六）商家经由本服务之使用下载或取得任何资料，应由商家自行考量且自负风险，因资料之下载而导致商家电脑系统之任何损坏或资料流失，商家应负完全责任。

(Ⅵ) If the Merchant downloads or obtains any data through the Service, the Merchant shall resort to its own judgment and solely bear any relevant risk. If the downloading of any data results in the Merchant’s computer system’s any damage or data loss, the Merchant shall assume all relevant liabilities.

（七）商家自苏宁易付宝及苏宁易付宝工作人员或经由本服务取得之建议和资讯，无论其为书面或口头形式，均不构成苏宁易付宝对本服务之保证。

(Ⅶ) Any suggestion or message the Merchant obtains from SuningPay or any employee of SuningPay or through the Service, no matter in oral or written form, shall not constitute SuningPay’s any guarantee for the Service.

（八）在法律允许的情况下，苏宁易付宝对于与本协议有关或由本协议引起的任何间接的、惩罚性的、特殊的、派生的损失（包括业务损失、收益损失、利润损失、使用数据或其他经济利益的损失），不论是如何产生的，也不论是由对本协议的违约（包括违反保证）还是由侵权造成的，均不负有任何责任，即使事先已被告知此等损失的可能性。

(Ⅷ) As far as the law permits, SuningPay shall not assume any liability for any indirect, punitive, special or derivative loss in connection with or arising from the Agreement (including business loss, income loss, profit loss, loss of service data or the loss of any other economic interest), no matter how the loss arises, and no matter whether the loss is caused by any violation of the Agreement (including breach of warranty) or by any infringement, even if SuningPay has been informed of the possibility of the loss in advance.

（九）鉴于目前互联网安全保护技术和措施在其本身不断得到改进和完善的同时，也在不断面临新的挑战，因此，商家使用易付宝服务将存在一定的风险，该等风险包括但不限于：商家的易付宝账户和密码被他人冒用、盗用、侵入、或有其他任何未经合法授权之情形发生，或不法分子盗用商家的银行卡，或交易对方拒绝付款等。这些风险均会给商家造成经济损失，除非可证明苏宁易付宝对损失的形成存在故意或重大过失，苏宁易付宝将不承担任何责任；另外，在任何情况下，苏宁易付宝就本协议向商家承担的违约或赔偿责任（如有）的上限额度为不超过向商家收取的当次服务费的总额。

(Ⅸ) Considering that the present Internet security protection technology and measures are improved and perfected continuously and are continuously in face of new challenges, the Merchant will face some risks while enjoying SuningPay Service, including but not limited to: the SuningPay account and password of the Merchant are imitated, usurped or invaded by others or any other unauthorized circumstance may occur; or any lawbreaker usurps the Merchant’s bank card, or the transaction counterparty refuses to make payment, etc. These risks will bring economic loss to the Merchant. Unless the Merchant can prove that SuningPay has any deliberation or gross negligence to the formation of the loss, SuningPay will not assume any liability. In addition, under any circumstance, the upper limit of the default or compensation liability (if any) assumed by SuningPay to the Merchant with regard to the Agreement shall not exceed the total of the service fee that SuningPay has charged on the Merchant.

十、隐私保护

Ⅹ. Privacy protection

（一）对于商家的隐私及个人非公开信息，苏宁易付宝将依照法律规定和协议约定，予以严格保密。

(Ⅰ) Suning will treat the Merchant’s privacy and personal nonpublic information as strictly confidential according to the provisions of relevant laws and the Agreement.

（二）在阅读本协议以及申请注册成为易付宝用户时，如商家尚未满18周岁或非合法主体的，商家不能使用易付宝服务，请商家终止注册行为，不要向我们提供商家的任何个人信息。

(Ⅱ) If the Merchant has not yet reached 18 full years old or the Merchant is not a lawful entity when the Merchant reads the Agreement and applies for becoming a user of SuningPay through registration, then the Merchant cannot access SuningPay Service, and shall stop its registration behavior, and shall not provide us with the Merchant’s any personal information.

（三）在商家注册时，苏宁易付宝会要求商家设置用易付宝账户名和密码来识别商家的身份，并可能会设置密码提示问题及其答案，以便在商家丢失密码时用以确认商家的身份。商家仅可通过商家设置的密码来使用该账户，如果商家泄漏了密码，商家可能会丢失商家的个人识别信息，并可能导致对商家不利的法律后果。

(Ⅲ) At the time of registration, SuningPay will demand the Merchant to set its SuningPay account name and password to identify the Merchant, and possibly set a password prompt question and its answer, so as to confirm the Merchant’s identity when the Merchant loses its password. The Merchant can merely access the account through the password it has set. If the Merchant divulges its password, the Merchant may lose its personal identification information, and the Merchant may incur any unfavorable legal consequence accordingly.

（四）苏宁易付宝所提供的易付宝服务将需要商家提供商家的银行账户信息，在商家提供相应信息后，苏宁易付宝将严格履行相关保密约定。

（Ⅳ） The SuningPay Service offered by SuningPay will require the Merchant to provide its bank account information. After the Merchant provides corresponding information, SuningPay will strictly fulfill relevant confidentiality obligation.

（五）为了保障商家使用易付宝服务的安全以及不断改进服务质量，苏宁易付宝将记录并保存商家注册、登录和使用本服务所提供、所形成的相关信息，但苏宁易付宝承诺不将此类信息提供给任何第三方（但双方另有约定、法律另有规定，及苏宁易付宝的关联公司、辅助合作单位除外）。

(Ⅴ) In order to ensure the Merchant’s safe access to the SuningPay Service and continuously improve service quality, SuningPay will record and save the information provided and generated for the Merchant to register, log into and access the Service, but SuningPay shall promise not to provide any information of this kind to any third party (unless otherwise agreed between both parties or specified by relevant laws and apart from any affiliated company or auxiliary cooperator of SuningPay).

十一、管辖法院及法律适用

Ⅺ. Competent court and legal application

本协议（含易付宝服务规则）之解释与适用，以及与易付宝服务有关的争议，均应依照中华人民共和国大陆地区有效适用之法律予以处理，并由苏宁易付宝所在地相应级别的中华人民共和国法院管辖。

Both the interpretation and application of the Agreement (including SuningPay Service Rules) and any dispute concerning SuningPay Service shall be settled in accordance with the effective and applicable laws of the mainland of the People’s Republic of China, and shall be governed by the court of the People’s Republic of China at the corresponding level at the place of SuningPay.

十二、协议关系

Ⅻ. Agreement relationship

本协议内容包括协议正文及所有苏宁易付宝已经发布的或将来可能发布的易付宝服务规则，及苏宁易付宝不时发布的其他明示属于本协议组成部分的合同或法律文件。本协议中的中文与英文条款解释不一致的，以中文解释为准。

The Agreement includes the main body of the Agreement and all SuningPay Service Rules that SuningPay has already released or may release in the future, and other contracts or legal documents which explicitly belong to the Agreement and which are released by SuningPay at any time. In case there is any discrepancy between the Chinese and English version of this Agreement, the Chinese version shall prevail.
